Rive Wellness is operated by Rive Wellness LLC (“Rive”). The following Terms of Use (“Terms”) constitute an agreement between Rive and you that governs your use of Rive’s website https://www.rivewellness.com (“Website”) and all of its associated content and functionality, including the purchase and use of any Rive products (“Products”) and services, including coaching, consultations, program design, self-guided programs, and related offerings (“Services”). Please also review our Privacy Policy, which governs how we collect, use, and share your personal information.


Your use of the Website, Products, or Services constitutes your acceptance of and agreement to these Terms and Privacy Policy. Use of Rive’s Services is governed by our Coaching Agreement, which you must sign upon the purchase of any Services.


You must be 21 years or older to use this Website and purchase Rive’s Products or Services. Rive does not accept or ship orders outside of the United States.


Rive reserves the right to modify, alter, amend, or update the Website and these Terms at any time. If you do not agree with or do not accept any part of these Terms, you must not use the Website or purchase any Products or Services.

Rive cannot guarantee the legality of the Products in every jurisdiction. Rive shall not be responsible for any liability arising from the alleged illegality of Products sold to you on this Website. You must verify the legality of the Products in your jurisdiction before purchasing.

All Products are formulated to contain 0.3% THC or less as allowed by law, and are verified through HPLC analysis as containing non-detectable THC. You acknowledge that you purchase, possess, and use the Products at your own legal risk.

The statements on this Website have not been evaluated by the Food and Drug Administration. Rive’s Products are not intended to diagnose, treat, cure, prevent any disease, or alter the structure or function of the body. The FDA has not evaluated Rive’s Products for safety or efficacy.


Rive products contain no known allergens, however the Products are manufactured in facilities that may also process tree nuts, soy, or other allergens.


Keep Rive’s Products out of reach of children and animals.


Rive’s Products may cause drowsiness and impair the ability to drive or operate heavy machinery.

You agree to indemnify, defend, and hold harmless Rive and its employees and agents from all  third-party claims, suits, liabilities, losses, damages, obligations, costs, actions, demands, and expenses (including reasonable attorneys’ fees and expenses) arising from your use of the Website, Products, Services, or your violation of these Terms.

You may view the Website, download from the Website, and print pages from the Website for your personal noncommercial use, subject to the restrictions set out below and elsewhere in these Terms.

  • Transmitting or sending any unsolicited commercial communications or use of the Website for any third-party marketing without Rive's express written permission.


You must not use the Website in a way that causes or may cause damage to the Website or impair the availability of access to the Website. You must not decompile, reverse engineer, disassemble or otherwise reduce the Website, except to the extent that such activity is expressly permitted by applicable law. You must not use the Website to copy, store, host, transmit, send, use, publish or distribute any material that consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit and/or other harmful code or malicious software.


INTELLECTUAL PROPERTY


Rive's copyrights, trademarks, and trade dress may not be used in connection with any product or service that is not Rive's in any manner likely to cause confusion among consumers or in any manner that disparages or discredits Rive.


The design, content, and all components of the Website are intellectual property and copyrights owned by Rive or third parties that are protected by United States and international laws and should not be reused or republished without the owner’s express written permission. From time to time, the Website will legally utilize trademarks owned by third parties. These trademarks are the respective property of their owners.


From time to time, the Website will utilize various plugins or widgets to allow sharing of content via social media channels, email, or other methods. Use of these plugins or widgets does not constitute any waiver of Rive's intellectual property rights. Such use is a limited license to republish the content on the approved social media channels with full credit to Rive.


TAKEDOWN REQUESTS


From time to time the Website will publish posts with images from other third-party Websites. Any such use is intended to be considered fair use under copyright laws and is fully attributed to the owner. If you believe that your copyrighted work has been used on the Website in a way that constitutes copyright infringement and falls outside of fair use, please send a request to support@rivewellness.com and Rive will promptly reply.


COMMUNICATION


If you send Rive an email, submit the Website request form, or provide your email to Rive in any other way, you consent to receive communications from Rive electronically. You agree that all legal notices provided via electronic means from Rive satisfy any requirement for written notice.


DISPUTE RESOLUTION AND BINDING ARBITRATION


Any dispute arising out of or relating to these Terms or your purchase of Products or Services shall be resolved by binding arbitration under the rules of the American Arbitration Association, before a single arbitrator in Contra Costa County, California. Judgment on the award may be entered in any court having jurisdiction, and the parties waive any right to a jury trial or class action.  If you do not wish to be bound by arbitration, you may opt out by providing written notice to support@rivewellness.com within 30 days of your first purchase.


GOVERNING LAW AND VENUE


These Terms shall be governed by and construed in accordance with the laws of California, without regard to conflict of law principles, and shall benefit and be binding upon the Parties hereto and their respective successors and assigns. Further, all actions or proceedings instituted by any Party relating to these Terms shall be instituted in the appropriate court in Contra Costa County, California. The Parties do hereby waive all questions of personal jurisdiction or venue for the purpose of carrying out this provision.


MISCELLANEOUS PROVISIONS


These Terms, together with the Privacy Policy and Coaching Agreement, are the final, complete, and exclusive agreement of the parties with respect to the Website, Products, and Services offered by Rive. No waiver of any breach or right under these Terms will be deemed a further or continuing waiver.


If any provision(s) of the Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.
